General applicability

These NLdigital Terms apply to all offers and agreements for goods or services delivered by the supplier. Client-specific terms are excluded unless both parties agree in writing, and third-party terms take precedence once the client has been informed.

Offers and agreements

All offers are without obligation unless explicitly stated otherwise. Client guarantees the information provided for the offer, and any budget is binding only if agreed in writing. Supplier’s administration serves as evidence of performance unless the client proves otherwise.

Pricing and payment

Prices are exclusive of VAT, quoted in euros, and payable in euros. Supplier may adjust rates with notice; clients who reject an adjustment within 30 days may terminate the agreement. Late payments incur statutory interest plus judicial and extrajudicial collection costs.

Duration and termination

Continuing performance contracts run for the agreed period or default to one year when unspecified. Fixed-term agreements automatically renew for the original period (max one year) unless either party terminates with three months’ notice before the term ends.

Confidentiality & data processing

Both parties keep confidential information secret and use it only for the agreed purpose. Client is responsible for lawful personal data processing, indemnifying supplier for related claims, and the standard processing clauses apply when supplier acts as processor.

Security, risk & hardware

Security measures meet agreed specifications or a reasonable baseline. Access credentials are confidential, and the client manages authorizations. Goods remain supplier property until fully paid, risk passes when the client controls the goods, and hardware leasing, hosting, and maintenance follow the stated clauses.
